In China, company seals, or chops, play a central role in corporate authorization and document execution. Unlike business environments where personal signatures are typically the primary means of authorization, Chinese companies use different types of seals for specific purposes, including contracts, finance, legal representation and day-to-day business activities. Understanding how these seals function, when they are required and who controls them is therefore an important aspect of corporate governance and risk management.
This masterclass provides a practical introduction to the role, use and management of company seals and signatures in China. Participants will learn about the different types of company seals, their respective functions and the circumstances in which they may be used. The masterclass also examines seal and signature management practices, including authorization, custody and internal controls, as well as the risks associated with unauthorized use, loss, misuse and forgery. Through practical examples and case-based learning, participants will develop a better understanding of how effective seal and signature controls can help prevent unauthorized commitments, fraud and corporate disputes.
Course Structure
Five Focused Units.
Unit 1: Introduction
The first unit provides an orientation to the course and the online learning environment. The unit does not carry credits. You are encouraged to go through the materials at their own pace to get accustomed to the online medium.
Unit 2: Understanding the Role and Significance of Company Seals in China
Learn about the important role company seals play in Chinese business practice and how they are used to authenticate and authorize corporate documents and transactions. This unit examines the main types of company seals used by domestic and foreign-invested companies, their respective purposes and the significance of sealed documentation. You will also explore the importance of clear authorization, custody, supervision and internal controls in managing company seals and reducing the risks associated with their use.
Unit 3: Verification of Company Seals in China
Learn how to assess the authenticity and authorized use of a company seal through a structured three-step verification process. The unit covers desktop research, verification with the relevant Administration for Market Regulation (AMR), and direct verification with the company concerned, providing practical guidance on how to identify inconsistencies and potential risks.
Unit 4: Common Scams Involving Company Seals in China
Explore common forms of fraud and scams involving company seals in China and learn how these schemes can occur in practice. Through practical examples and case studies, you will examine the methods used, the potential impact on companies and the legal, financial and commercial consequences that may follow.
Unit 5: The Use of Signatures in China
Learn about the role of personal signatures alongside company seals in Chinese business transactions and the importance of properly documenting commercial relationships. The unit examines how signatures and seals can serve as evidence in disputes and explores key considerations for verifying authority, documenting transactions and managing contractual risks when dealing with Chinese business partners.
