Course Overview

In this masterclass, you will develop a practical understanding of the organizational, personnel, legal and compliance considerations involved in establishing a Representative Office (RO) in Mainland China. For foreign companies exploring opportunities in China, establishing a local presence can provide a stronger platform for market research, relationship building and business development. Selecting the appropriate structure, however, requires careful consideration of the company’s objectives, planned activities and longer-term China strategy.

A Representative Office is one of the more limited forms of foreign presence available to international companies in China. It can provide a relatively straightforward way to establish a local presence without establishing a separate operating business, while allowing the foreign parent company to conduct permitted activities such as market research, liaison, business promotion and coordination. At the same time, an RO is subject to specific restrictions and compliance requirements, and it cannot generally conduct direct profit-generating business activities in China.

The masterclass examines the key steps, requirements and practical considerations involved in establishing and managing a Representative Office, helping participants assess whether an RO is appropriate for their organization and how it can fit within a broader China market-entry strategy. For companies at an early stage of their China journey, an RO can provide a practical platform for developing market knowledge and relationships before committing to a more substantial investment structure.

Course Structure

Three Focused Units.

Unit 1: Introduction

The first unit provides an orientation to the course and the online learning environment. The unit does not carry credits. You are encouraged to go through the materials at their own pace to get accustomed to the online medium.

Learn about the key requirements and practical considerations involved in establishing a Representative Office (RO) in Mainland China. The unit examines the eligibility requirements for foreign companies, the main characteristics of an RO, and the registration and establishment process.

You will also explore the advantages, limitations and potential risks associated with using a Representative Office as a form of foreign presence in China. Particular attention is given to the activities an RO may undertake, the restrictions on its business activities and the circumstances in which an RO may be an appropriate option for companies exploring the Chinese market.

Learn about the ongoing requirements involved in operating and maintaining a Representative Office in China after establishment. The unit examines key areas such as ongoing compliance, personnel, taxation, documentation, reporting and administrative obligations.

You will also explore the practical considerations involved in managing an RO effectively, including the limitations on its activities and the circumstances in which a company may need to reconsider its structure as its China business develops. The unit provides a practical framework for assessing whether an RO continues to support the organization’s China strategy or whether a different investment or operating structure may be more appropriate.
