Via our Entrepreneurship Program we prepare executives and working professionals with an in-depth understanding of the requirements for starting, scaling, and managing a business venture in China. Our programs start with detailing China’s foreign investment landscape, followed by the introduction of a Representation Office, an investment vehicle which foreign investors might use as an entry point when orienting whether to starting up a company in China.
Personnel are an organizations’ most important asset. You will learn the ins and outs of contracting permanent, temporary, part-time and freelance personnel, and essentials related to salary, social security, and income tax. Next, focus of our Entrepreneurship Program goes out towards ensuring the protection of Intellectual Property Rights, either via trademarks or patents. Profits can be repatriated in different ways. In our program repatriation via dividends or management fees is discussed.

The standard duration of the course is 16 weeks based on an average time commitment of 8 hours per week.
Navigating China’s Foreign Investment Landscape
- Learn the steps to take as a foreign investor to determine whether your desired investments for expanding your organization into China are possible, and which requirements might apply.
- Learn about the differences between investing within the territory of mainland China and within the territory of the Pilot Free Trade Zones.
- Learn how to read and apply China’s Foreign Investment Encouraged Lists, Negative Lists, Market Access Negative List and the Catalogue for Industry Restructuring for your business.
- Develop an in-depth understanding of the key aspects of Investment Management, Investment Promotion, Investment Protection, and requirements to achieve compliance towards China’s Foreign Investment Law.
- Understand how foreign investment has contributed to the economic development in China, and what long-term implications China’s FDI policy has for both Chinese and international business.
Setting Up a Representation Office
- Learn to navigate the main considerations to be made when deciding to enter the mainland Chinese market by establishing a Representation Office.
- Gain in-depth insights in the advantages and limitations of China-based Representative Offices.
- Develop a profound understanding of the organizational, personnel, financial, legal and compliance aspects of setting up a Representative Office in Mainland China.
Structuring Employment Contracts
- In this module you will develop a deeper understanding of the different types of employment contracts related to individual, collective and part-time employment.
- You will develop in-depth insights in the requirements for conclusion of the different types of employment contracts.
- You will learn to translate law and regulations into business practice, utilizing examples of provisions which can be included in individual employment contracts drafted in accordance with the PRC Labour Contract Law.
- You will develop a profound understanding on the regulations regarding work placement and will become able to establish arrangements between the hiring company, staffing firm and dispatched employee.
- You will earn insights in the purpose and functioning of employment handbooks.
Contracting Freelance Personnel
- In this module you will develop a deeper understanding of the different types of employment contracts related to individual, collective and part-time employment.

Understanding Payroll, Social Security, and Individual Income Tax
- In this module you will learn how China’s payroll system is designed and salary is calculated.
- You will develop an understanding of China’s social security system is designed, which components exists and how contribution is arranged.
- You will gain in-depth insights in how the individual income tax framework is designed, understand the difference between a Resident and Non-Resident Taxpayer, Tax Residency and Taxability of income, and how it exactly impacts taxation borne by the employer and employee.
- You will get insight into the different types of income components, how these are taxed, and understand tax deductions under China’s new Individual Income Tax Law.
- You will develop a better understanding of the development of current preferential tax policies.
Due Diligence Essentials for Doing Business in China and with China-based Enterprises
- Learn how to identify risks associated with the business license, company seals, payments, company and factory visits, sales prices, company websites and way of contact with counterparts.
- Learn how to perform basic due diligence of customer, supplier, and potential business partners.
- Gain in-depth insights in red flag areas related to financial transactions.
- Learn how to cross reference information from different sources.
- Develop an understanding of the importance of duly sealed and signed documentation.
Optimizing Profit Repatriation from China via Dividend Payments
- Develop a deep understanding of the preconditions for effecting dividend payments from mainland China.
- Learn how to calculate net dividends payable to your offshore parent company.
- Gain an in-depth understanding of the payment procedure and timeline.
- Determine whether Double Taxation Agreements between China and your country are in place, and what effect these might have on the overall tax burden.
- Learn how your organization might become eligible and how to apply for tax treaty benefits.
Protecting Intellectual Property Rights in China via Trademarks
- In this module you will develop a deep understanding of what trademarks are, what type of marks exist and how they protect business.
- You will learn how to apply for trademark protection under the PRC Trademark Law.
- Understand how to fight bad faith trademarks registrations.
- Know how to process renewal, modification, assignment, and licensing of trademarks.
- Gain insight in China’s intellectual property strategy.

No specific prior education or knowledge about foreign investment into China is required to be admitted to this program.
Prior completion one or multiple of the Institute of China Studies’ Certificate or Diploma courses included in the program as a standalone course is recommended.
Assessment
Assessment is carried out through a series of written assignments to be completed at the end of each unit.
Certificate of Completion
A Certificate of Completion is issued upon the successful completion of the course.
Alumni Association
Students who have successfully completed the program will automatically join ICS’s alumni association and have the opportunity to participate in the China Entrepreneur’s Circle, which forms an important platform for maintaining and gaining new business contacts. Upon completion, you become ambassadors of the program by sharing insights and experiences to new students via public speaking at our networking events, factfinding missions to China, seminars, and webinars.
Tuition fee
Tuition fee for the entire program is
- EUR 4.500 to be paid in a single installment in advance, or
- EUR 2.500 to be paid in two installments. Total tuition EUR 5.000.
The tuition fee includes all necessary literature and study materials, guidance and support during your studies, free extension of the study duration (if required), and 1:1 contact with your course professor.
Credit
Having completed one of multiple of Institute of China Studies’ Certificate or Diploma courses included in the program as a standalone course prior to the start of the program might result in credit of the tuition fee. Please contact us for more information.
