Course Overview
Branch offices can provide foreign and domestic companies with a practical structure for expanding their business presence in China. They can offer a formal local presence while, depending on the structure and activities involved, requiring fewer resources to establish and maintain than a separate legal entity. Understanding the different types of branch offices and the requirements that apply to each is therefore important when assessing whether this structure is appropriate for a particular business.
In this masterclass, you will develop a practical understanding of the main types of branch offices in China and the key considerations involved in establishing and operating them. The course provides a step-by-step overview of the establishment process, including the main procedures, required documentation and indicative timelines. You will also examine how to determine an appropriate business scope for the parent company and its branches, together with considerations relating to the parent company’s registered or subscribed capital. The masterclass further explores practical considerations surrounding the localization and organization of a branch office in China.
From an operational perspective, you will learn about the roles and responsibilities of representatives at both parent-company and branch level, the use and management of company seals, and the accounting and tax considerations applicable to different types of branch offices. The course also examines the commercial activities that different branch structures may undertake, including their ability to enter into, sign and execute contracts. Through practical examples and structured guidance, the masterclass helps participants understand how branch offices operate in practice and assess whether this structure is suitable for their China business strategy.
